Introduction
Welcome to Pharoll, a creator-led traffic marketplace platform developed and operated by CORDOUAN, UNIPESSOAL LDA. Its purpose is to connect businesses and creators to distribute campaigns and turn attention into measurable traffic. These Terms and Conditions govern your access to and participation in the Pharoll universe.
Pharoll may change these Terms and Conditions from time to time. Any change will be communicated to users by appropriate means and will take effect after it has been read, acknowledged and expressly accepted.
Participation in any Pharoll campaign is conditional on express acceptance of these Terms and any updates.
Pharoll's Privacy Policy forms part of these Terms and Conditions.
1. Identity
The Pharoll platform is operated by CORDOUAN, UNIPESSOAL LDA, a Portuguese limited liability company registered under corporate taxpayer number 514.111.941, with share capital of EUR 5,000.00 and email address info@pharoll.com.
Pharoll provides technological infrastructure for the creation, promotion and measurement of performance-based advertising campaigns.
2. Copyright
The platform and all its features, available in web format at pharoll.com and in application format, are owned by CORDOUAN, UNIPESSOAL LDA.
All information and elements, including without limitation videos, graphics, text, images, drawings, music or sounds, design, layout, logos, trade marks, software, code and other materials, are owned by CORDOUAN, UNIPESSOAL LDA or included with authorisation from the legitimate rights holders.
By contributing inputs such as suggestions, interactions, selections or decisions, all users acknowledge that all outputs, regardless of human or machine co-authorship, form part of the Pharoll universe and remain under the artistic domain and ownership of CORDOUAN, UNIPESSOAL LDA.
Content produced and published by creators, and any element provided by businesses, remains the intellectual property of those creators or businesses respectively, unless applicable law or a special contractual provision states otherwise.
3. Rules of conduct
Regardless of user profile, by registering with Pharoll the user agrees to follow core rules of use and conduct and undertakes not to:
- Breach any law or regulation when using Pharoll, including using the platform for fraudulent or misleading purposes;
- Collect information from other users without their express consent;
- Attempt to harm the platform or compromise its performance, including by interfering with or manipulating the algorithm, results or databases;
- Submit or use content, contributions or suggestions generated on the platform in a harmful or otherwise inappropriate way;
- Use data mining, scraping or crawling techniques to extract information from the platform;
- Transmit or request transmission of unsolicited or unauthorised advertising, promotional materials, spam or other forms of solicitation;
- Manipulate Pharoll metrics or artificial traffic; and
- Use scripts or automation to interact with Pharoll, or transmit viruses, trojans, worms, time bombs or other malicious or technologically harmful material.
Pharoll reserves the right to suspend access, restrict use or revoke platform credits in cases of malicious use or breach of the terms, including where users interfere with other people's use of the platform.
4. User types
The user types that use and have profiles on the platform are:
- Business
- Creator
5. Creators
Creators act for economic purposes, autonomously and independently. Within Pharoll's environment and interactions, it is strictly prohibited to establish any relationship that could imply employment, exclusivity or representation.
Remuneration is due only according to validated campaign performance. Payment to creators is subject to platform conditions, including metric validation, identity verification and legal compliance. Unvalidated metrics are incompatible with financial return for the creator.
Pharoll reserves the right to provide referral mechanisms or other promotional content that may support Pharoll's sustainable growth and development. Any potential benefits for creators may depend solely on criteria defined and made public by Pharoll, may be subject to validation, and may be changed or discontinued at any time.
The creator is responsible for all activity carried out through their account, the channels used for promotion, and compliance with applicable law.
6. Businesses
Business users are responsible for campaign content, the accuracy of information provided and legal compliance. They are also responsible for campaign-related payments. It is strictly prohibited to promote illegal content, misleading advertising, or unauthorised services or products.
Business users may create, modify, suspend or cancel campaigns at any time. Amounts used in campaigns are final and non-refundable, except where required by law, court decision or instruction from an authority.
Business users declare that they hold the necessary rights over the content and can legally promote the advertised products or services.
7. Eligibility
Access to the platform is prohibited for anyone under 18. It is the user's responsibility to read and understand these Terms and Conditions before agreeing to be bound by them. Pharoll may request proof of age at any time, and users who do not meet the minimum age requirement may be removed by the platform.
Pharoll may only be accessed by natural persons or businesses. It is strictly prohibited to access the platform through any robot or automated digital access mechanism, including bots, crawlers, spiders, scrapers, scripts, AI agents or systems not operated directly by a human user in real time.
Any amounts received by minors may be invalidated by Pharoll at any time. Identity verification may be required before payments are processed.
8. Access and security
Access to the platform is limited to registered users. Appropriate technical measures are applied, including encryption of data in transit and secure credential storage.
In the event of a data breach, Pharoll will act in accordance with applicable law and competent authorities.
9. Data processing
Pharoll processes data for platform operation, fraud prevention and legal compliance, and may use third parties. More information is available in the Privacy Policy.
Pharoll does not collect personally identifiable information beyond what is necessary to ensure compliance with these Terms and record interactions with Pharoll.
If a user's account is closed, voluntarily or compulsorily, their data may be erased or anonymised, except where legal retention obligations apply.
Users may request access to their personal data at any time by emailing privacy@pharoll.com.
All interactions with the platform follow applicable privacy and data-protection rules. The Privacy Policy is considered an integral part of these Terms and Conditions and must be read and accepted for unlimited access to the Pharoll ecosystem.
10. Notice and payments
Pharoll is not a game, market, financial product, credit intermediary or tied credit intermediary.
Payments in the Pharoll system are validated and processed by authorised providers. Pharoll reserves the right to change the payment-service provider or policy at any time.
Proof of civil identity may be requested by Pharoll or its partners before payments are released.
Payments may be subject to a fixed and published minimum amount and may be held during reasonable investigations.
11. Metrics
Metrics are provisional and may be adjusted or recalculated retroactively in cases of invalid traffic, fraud or technical error. Pharoll may change its criteria and algorithms at any time.
Displayed amounts correspond to metrics. They do not constitute balances of any kind held by Pharoll. Pharoll does not maintain payment accounts, digital wallets or user funds.
Any monetary compensation to creators based on campaign or digital publication performance may only occur where fully validated metrics support it.
12. No-refund policy
All amounts used in campaigns are final and non-refundable, except where required by applicable law, court decision or instruction from competent authorities.
13. Partnerships
Pharoll reserves the right to establish partnership relationships with third parties.
Any sharing of information with third parties strictly follows legal requirements or court decisions and the rules set out in Pharoll's Privacy Policy, which forms part of these Terms and Conditions.

14. Limitation of liability
Whether the user is a business or a creator, Pharoll does not limit its liability where the law does not allow it. Consumers are protected by applicable law.
Nothing in these Terms and Conditions affects consumer rights. Pharoll's employees, owners, representatives, partners and creators are not liable to the user for loss of profit, loss of business or revenue, business interruption, loss of opportunity or loss of anticipated savings arising from or related to use of Pharoll.
Pharoll is not liable for damage arising from creator content on their personal social media pages. It is also not liable to the creator if their content is copied, distributed, republished elsewhere or if their copyright is infringed.
Pharoll is not liable for disclosure of identity or publication of personal information by other users or third parties without consent. It is also not liable for failure or delay in performing any part of the Terms and Conditions caused by events outside its reasonable control.
Pharoll excludes all conditions, warranties, representations or other implied terms that may apply to Pharoll or any content, except those required by law, court decision or authority instruction.
15. Suspension and termination
In cases of serious risk or suspected breach of these Terms and Conditions, Pharoll may suspend any account for an indefinite period or cancel it permanently.
In case of breach of these Terms and Conditions, including rules in their annexes such as the Privacy Policy, Cookie Policy and others, termination may take immediate effect.
Where platform management considers it necessary, the user may be asked to clarify any aspect of their conduct or the relevant incident, and may be given a reasonable period to appeal suspension or termination.
16. Applicable law and jurisdiction
These Terms are governed by the laws of the Portuguese Republic, without regard to conflict-of-law principles. Any dispute arising from or related to these Terms will be resolved before the Portuguese courts in accordance with national law.

18. Unforeseen situations
Any situation not covered by these Terms and Conditions may be analysed and handled case by case in accordance with applicable law.
Any death, incapacity, force majeure or other exceptional circumstance that may affect the user's experience or interaction with the platform or another user should be communicated to the Pharoll team as soon as known and to the extent possible.
